Purchase of PCC manufacturing facility

Specialty Minerals Inc., a wholly owned subsidiary of Minerals Technologies Inc. has signed an agreement with Rhodia Limited, a specialty chemicals company, for the purchase of a precipitated calcium carbonate (PCC) manufacturing facility in Lifford, UK, near the city of Birmingham. Rhodia is a wholly owned subsidiary of the Paris-based Rhône-Poulenc Group. The final sale, which is expected to close in the coming weeks, is contingent on conditions to be met by both parties. The price, to be determined at the time of the sale, is expected to be in the range of $30 million to $35 million. Sales in 1997 were about $18 million.
